Terms & Conditions of Use

1. Introduction

Welcome to the EXCELAGROVC AI-Powered Digital Agriculture Infrastructure Platform (“EXCELAGROVC,” “Platform,” “we,” “us,” or “our”), operated by Excel Agro Value Chain Nigeria Limited (“EXCELAGROVC Nigeria Limited,” “Company,” or “EXCELAGROVC”).

EXCELAGROVC is a digital agriculture infrastructure platform designed to connect farmers, agricultural enterprises, financial institutions, insurance providers, input suppliers, aggregators, processors, logistics providers, off-takers, government institutions, development organisations, investors and other participants across agricultural value chains.

The Platform may provide or facilitate access to services including:

• Digital farmer and agribusiness registration;
• Digital agricultural identity and profiles;
• Farm and agricultural data management;
• Farm mapping and verification;
• Agricultural information and advisory services;
• AI-powered agricultural insights and decision-support tools;
• Access to agricultural inputs and services;
• Financial-services connectivity;
• Loan and financing applications and monitoring;
• Digital payment and transaction services through authorised partners;
• Agricultural insurance connectivity;
• Market linkage and aggregation;
• Off-taker and buyer connections;
• Logistics and supply-chain coordination;
• Agricultural data analytics and reporting;
• Traceability and value-chain management;
• Business opportunities and ecosystem partnerships; and
• Other digital agricultural services introduced by EXCELAGROVC from time to time.

By accessing, registering on, or using the Platform, you acknowledge that you have read, understood and agreed to these Terms & Conditions (“Terms”).

If you do not agree with these Terms, you should not use the Platform.

2. Definitions

For purposes of these Terms:

“Account” means a registered user account created on the Platform.

“Agricultural Data” means information relating to a farmer, farm, agricultural enterprise, production activity, transaction, crop, livestock, input, harvest, market activity or other agricultural activity.

“AI Services” means artificial-intelligence-powered tools, models, analytics, recommendations, predictions, scoring, alerts or decision-support functionality provided through the Platform.

“Authorised Partner” means a bank, financial institution, insurer, payment provider, technology provider, government institution, development organisation, buyer, off-taker or other organisation authorised or engaged by EXCELAGROVC.

“Financial Services” means financial products or services provided by appropriately licensed financial institutions or other authorised providers through or in connection with the Platform.

“User” means any individual, farmer, cooperative, agribusiness, company, institution, government organisation or other person accessing or using the Platform.

“Platform” means EXCELAGROVC’s website, mobile applications, digital interfaces, databases, APIs, dashboards and related digital infrastructure.

3. Acceptance of These Terms

By using the Platform, you:

• Confirm that the information you provide is accurate and complete;
• Agree to comply with these Terms;
• Agree to comply with applicable laws and regulations;
• Accept responsibility for activities conducted through your Account;
• Consent to the processing of your information in accordance with EXCELAGROVC’s applicable Privacy Policy; and
• Acknowledge that certain services may be subject to additional terms imposed by EXCELAGROVC or an Authorised Partner.

Where additional terms apply to a particular service, those terms shall be presented to you before you use or participate in that service.

4. Eligibility and User Registration

Users may be required to register before accessing certain Platform services.

During registration, EXCELAGROVC may request information including, but not limited to:

• Full name;
• Contact details;
• Identification information;
• Business information;
• Farm information;
• Location information;
• Farm size and production information;
• Crop or livestock information;
• Cooperative or group information;
• Banking or payment information where applicable;
• Transaction information; and
• Other information reasonably required to provide or facilitate Platform services.

You agree that all information submitted to EXCELAGROVC shall be truthful, accurate, current and complete.

You are responsible for promptly updating information that becomes inaccurate or outdated.

EXCELAGROVC may conduct verification, validation, authentication or due-diligence checks using information supplied by you or obtained through lawful sources.

5. Digital Agricultural Identity

EXCELAGROVC may provide users with a digital agricultural profile or identity designed to facilitate participation in agricultural value chains.

A digital agricultural identity may help users establish a verified profile containing information such as:

• Identity;
• Farm location;
• Farm size;
• Production history;
• Crops or livestock;
• Transaction history;
• Training and extension activities;
• Market participation;
• Financing activities;
• Insurance information; and
• Other permitted agricultural information.

An EXCELAGROVC digital agricultural identity is not automatically equivalent to a government-issued national identity document, bank account, credit guarantee, insurance policy or financial licence.

Where verification is required, EXCELAGROVC may rely on information or verification services provided by authorised third parties.

6. Farmer and Agribusiness Data

EXCELAGROVC recognises that agricultural data is important to farmers, agribusinesses, financial institutions, governments and other ecosystem participants.

By using the Platform, you authorise EXCELAGROVC, subject to applicable law and our Privacy Policy, to collect, store, process and use information necessary to:

• Provide Platform services;
• Verify your identity or agricultural activities;
• Facilitate access to financial services;
• Facilitate insurance services;
• Connect you with markets and buyers;
• Provide agricultural advisory services;
• Generate agricultural insights;
• Improve Platform functionality;
• Monitor agricultural programmes;
• Conduct analytics and reporting;
• Detect fraud or suspicious activities;
• Meet legal and regulatory requirements; and
• Develop and improve agricultural products and services.

Where your data is to be shared with a third party for a purpose requiring your consent, EXCELAGROVC will seek appropriate consent or otherwise rely on a lawful basis permitted by applicable law.

7. User Consent and Data Sharing

Where applicable, you may be asked to provide specific consent before EXCELAGROVC shares relevant information with:

• Banks and financial institutions;
• Insurance companies;
• Payment service providers;
• Government institutions;
• Development organisations;
• Agricultural input suppliers;
• Off-takers and buyers;
• Aggregators and processors;
• Logistics providers;
• Research or technology partners; or
• Other authorised ecosystem participants.

You should carefully review any consent request before accepting it.

You may withdraw consent where legally permitted and subject to contractual, regulatory or operational requirements.

8. AI-Powered Services

EXCELAGROVC may use artificial intelligence, machine learning, analytics and other technologies to provide agricultural insights and decision-support services.

AI Services may include:

• Farm and crop analytics;
• Yield estimation;
• Agricultural recommendations;
• Risk assessment;
• Credit or financing-related analytics;
• Fraud detection;
• Market insights;
• Weather or agricultural alerts;
• Production monitoring;
• Performance analysis; and
• Other decision-support functions.

AI-generated information is intended to support decision-making and does not constitute a guarantee, professional opinion or guaranteed outcome.

Users should consider relevant human, agricultural, financial, environmental and commercial factors before making important decisions.

EXCELAGROVC does not guarantee that AI-generated information will always be complete, accurate, current or suitable for every individual farm or business.

9. Financial Services and Credit

EXCELAGROVC may facilitate access to financing or financial services through Authorised Partners.

Where a bank, microfinance institution, lender or other financial institution provides financing:

• The financial institution remains responsible for its own lending decision;
• EXCELAGROVC does not guarantee loan approval;
• EXCELAGROVC does not guarantee a particular interest rate or financing amount;
• Eligibility criteria may vary between financial institutions;
• Applicants may be required to provide additional information;
• The financial institution may conduct its own credit assessment and due diligence; and
• Loan agreements may be entered into directly between the borrower and the relevant financial institution.

Unless expressly stated otherwise, EXCELAGROVC is not itself the lender merely because it facilitates access to financing.

Users remain responsible for complying with the terms of any financing agreement they enter into.

10. Payments and Transactions

Where digital payment functionality is provided, payments may be processed by EXCELAGROVC or authorised payment partners, depending on the particular service.

EXCELAGROVC may facilitate:

• Farmer payments;
• Input payments;
• Buyer payments;
• Aggregation payments;
• Service payments;
• Loan-related transactions;
• Insurance-related payments; and
• Other permitted agricultural transactions.

Users are responsible for confirming transaction details before authorising a transaction.

EXCELAGROVC shall not be responsible for losses resulting from incorrect information supplied by a user, except to the extent required by applicable law.

Where payment services are provided by a licensed third party, the terms and conditions of that provider may also apply.

11. Insurance Services

EXCELAGROVC may connect users with authorised insurance companies or insurance intermediaries.

EXCELAGROVC does not guarantee:

• Insurance acceptance;
• Coverage;
• Claims approval;
• Premium levels; or
• Claim settlement.

The relevant insurance company or authorised insurance provider shall be responsible for underwriting, policy issuance, coverage decisions and claims administration.

Users should carefully review their insurance policy before accepting coverage.

12. Agricultural Inputs and Services

The Platform may connect users with input suppliers and agricultural service providers.

Products or services may include:

• Seeds;
• Fertilisers;

EXCELAGROVC may act as a digital marketplace or facilitator and may not be the manufacturer, owner or direct supplier of every product or service listed on the Platform.

Users should verify product information and follow appropriate professional, manufacturer and regulatory guidance when using agricultural products.

13. Marketplace, Off-Takers and Buyers

EXCELAGROVC may facilitate connections between farmers, aggregators, processors, buyers and off-takers.

EXCELAGROVC does not guarantee that:

• A buyer will purchase a product;
• A farmer will supply a product;
• A particular price will be achieved;
• A transaction will be completed;
• A buyer will accept a particular quality; or
• A product will achieve a particular market value.

Where a transaction is governed by a separate contract, the parties shall remain responsible for fulfilling their contractual obligations.

14. Logistics and Supply-Chain Services

EXCELAGROVC may facilitate access to logistics and transportation providers.

Unless expressly stated otherwise, EXCELAGROVC is not responsible for the physical transportation, storage, handling or delivery of agricultural goods performed by independent logistics providers.

Users should review applicable logistics terms, insurance arrangements and delivery conditions before engaging a provider.

15. User Responsibilities

Users agree to:

• Provide accurate information;
• Protect their login credentials;
• Notify EXCELAGROVC of suspected unauthorised access;
• Use the Platform lawfully;
• Respect other Platform users;
• Honour valid contractual obligations;
• Provide truthful agricultural and financial information;
• Avoid fraudulent or misleading activities;
• Avoid submitting malicious software or harmful content; and
• Cooperate with reasonable verification and compliance procedures.

16. Prohibited Activities

Users must not use the Platform to:

• Commit fraud;
• Impersonate another person;
• Submit false agricultural information;
• Manipulate transactions;
• Circumvent security measures;
• Attempt unauthorised access to Platform systems;
• Upload malicious software;
• Interfere with Platform operations;
• Engage in unlawful financial activities;
• Misuse another user’s personal information;
• Violate intellectual-property rights;
• Conduct activities prohibited by applicable law; or
• Use the Platform for any purpose that could damage EXCELAGROVC, its partners or other users.

EXCELAGROVC may suspend or terminate accounts reasonably suspected of violating these Terms or applicable law.

17. Intellectual Property

Unless otherwise expressly stated, all intellectual-property rights relating to the EXCELAGROVC Platform belong to EXCELAGROVC or its authorised licensors.

This may include:

• Software;
• Source and object code;
• Platform architecture;
• Databases;
• Website content;
• Designs;
• User interfaces;
• Logos;
• Trademarks;
• Trade names;
• Algorithms;
• AI models;
• Documentation;
• Dashboards;
• Reports;
• Graphics; and
• Other proprietary technology.

Users receive a limited, non-exclusive, non-transferable and revocable right to use the Platform for its intended lawful purposes.

Users must not copy, reproduce, reverse-engineer, modify, distribute, sell, lease or commercially exploit EXCELAGROVC’s proprietary technology without written permission.

18. User-Generated Content

Where users submit content, including photographs, farm information, documents, business information or other materials, users remain responsible for ensuring that they have the right to provide such materials.

By submitting content, users grant EXCELAGROVC the permissions reasonably necessary to store, process, display and use such content for providing Platform services and other lawful purposes consistent with applicable privacy and data-protection requirements.

19. Third-Party Services

The EXCELAGROVC Platform may integrate with or provide access to third-party services.

These may include:

• Banks;
• Payment providers;
• Insurance companies;
• Government platforms;
• Mapping providers;
• Cloud-service providers;
• Agricultural technology providers;
• Logistics providers;
• Marketplaces; and
• Other technology or business partners.

Third-party services may be governed by their own terms and privacy policies.

EXCELAGROVC is not responsible for the independent acts, omissions, products or services of third parties except where liability cannot lawfully be excluded.

20. Platform Availability

EXCELAGROVC will make reasonable efforts to maintain the availability, security and functionality of the Platform.

However, the Platform may occasionally be unavailable because of:

• Maintenance;
• Upgrades;
• Network failures;
• Power interruptions;
• Internet-service disruptions;
• Cybersecurity incidents;
• Third-party service interruptions;
• Force majeure events; or
• Other circumstances beyond EXCELAGROVC’s reasonable control.

EXCELAGROVC does not guarantee uninterrupted or error-free access at all times.

21. Information Accuracy

EXCELAGROVC makes reasonable efforts to provide reliable information but does not guarantee that all information available through the Platform will always be:

• Accurate;
• Complete;
• Current;
• Error-free; or
• Suitable for every user’s circumstances.

Agricultural conditions can change due to weather, climate, pests, disease, market conditions, input availability and other factors.

Users remain responsible for making appropriate decisions based on their circumstances.

22. Agricultural and Business Disclaimer

Information provided by EXCELAGROVC, including AI-generated recommendations, agricultural insights, market information and analytics, is intended to support users and should not be treated as a substitute for appropriate professional advice.

EXCELAGROVC does not guarantee:

• Crop yields;
• Livestock performance;
• Farm profitability;
• Market prices;
• Loan approval;
• Insurance claims;
• Investment returns;
• Business success; or
• Any particular agricultural outcome.

23. Investment Disclaimer

Unless expressly stated and legally authorised, EXCELAGROVC does not provide investment advice or guarantee investment returns.

Information displayed on the Platform relating to agricultural opportunities, businesses, projects or investments should not be interpreted as a promise of financial returns.

Users should conduct appropriate due diligence and seek qualified professional advice before making investment decisions.

24. Limitation of Liability

To the maximum extent permitted by applicable law, EXCELAGROVC shall not be liable for indirect, incidental, special or consequential losses arising from the use of the Platform.

This may include losses resulting from:

• Agricultural production outcomes;
• Market-price changes;
• Loan rejection;
• Insurance decisions;
• Third-party services;
• Network interruption;
• User errors;
• Unauthorised third-party activities; or
• Events outside EXCELAGROVC’s reasonable control.

Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited under applicable law.

25. Indemnification

To the extent permitted by law, you agree to indemnify and hold harmless EXCELAGROVC, its directors, officers, employees, agents, technology providers and authorised partners against claims, losses, liabilities, damages and reasonable expenses arising from:

• Your violation of these Terms;
• Fraudulent or unlawful use of the Platform;
• False information submitted by you;
• Your violation of another person’s rights; or
• Your breach of an agreement entered into through the Platform.

26. Account Suspension and Termination

EXCELAGROVC may suspend, restrict or terminate access to an Account where:

• The user violates these Terms;
• Fraudulent activity is suspected;
• Information provided is materially false;
• Required verification cannot be completed;
• The Platform is being misused;
• Suspension is required by law or a competent authority; or
• Continued access creates a material security or operational risk.

Where appropriate and legally permitted, EXCELAGROVC may provide notice before taking such action.

Termination of an Account does not automatically terminate contractual obligations that arose before termination.

27. Privacy and Data Protection

EXCELAGROVC is committed to responsible handling of personal and agricultural information.

The collection, use, storage, sharing and protection of personal information shall be governed by EXCELAGROVC’s Privacy Policy and applicable data-protection laws and regulations.

Users are encouraged to read the Privacy Policy before using the Platform.

28. Data Security

EXCELAGROVC will implement reasonable technical and organisational measures designed to protect information within its control.

However, no digital platform can guarantee absolute security against every possible cybersecurity threat.

Users are responsible for maintaining the security of their passwords, devices and authentication information.

29. Changes to the Platform

EXCELAGROVC may modify, improve, add or remove Platform features from time to time.

New services may be subject to additional terms.

EXCELAGROVC may also update these Terms when necessary to reflect changes in:

• Services;
• Technology;
• Business operations;
• Legal requirements;
• Regulatory requirements; or

30. Governing Law

These Terms shall be governed by and interpreted in accordance with the laws of the Federal Republic of Nigeria, subject to applicable mandatory laws and regulations.

Any dispute arising from these Terms shall first be addressed through good-faith negotiation between the parties.

Where a dispute cannot be resolved amicably, it may be referred to an appropriate court or alternative dispute-resolution mechanism having lawful jurisdiction.

31. Force Majeure

EXCELAGROVC shall not be responsible for failure or delay in performing its obligations where such failure or delay results from circumstances beyond its reasonable control, including:

• Natural disasters;
• Flood;
• Fire;
• Epidemics or pandemics;
• War;
• Civil unrest;
• Government action;
• Power or telecommunications failures;
• Cybersecurity events;
• Internet infrastructure failure;
• Labour disruptions; or
• Other events beyond reasonable control.

32. Severability

If any provision of these Terms is determined to be invalid, unlawful or unenforceable, that provision shall be modified or removed to the minimum extent necessary, while the remaining provisions shall continue to apply.

33. No Waiver

Failure by EXCELAGROVC to enforce any provision of these Terms shall not constitute a waiver of its right to enforce that provision in the future.

34. Entire Agreement

These Terms, together with the EXCELAGROVC Privacy Policy and any applicable service-specific terms, constitute the agreement governing your use of the Platform unless a separate written agreement expressly provides otherwise.

Where a separate agreement exists between EXCELAGROVC and an institutional or commercial partner, the terms of that agreement shall govern the relevant relationship to the extent of any inconsistency.
